These Terms govern your relationship with EC² Invest Ltd. (a company incorporated in Hong Kong; "EC² Invest", "we", "us", or "our"). Where additional terms apply to specific features, products, or sections of the Services, those terms take precedence in the event of conflict (in the order: (i) any application or registration documents; (ii) feature-specific terms; (iii) these Terms).

Headings are for convenience only and do not affect interpretation.

1. Proprietary Rights

1.1 All content, information, and materials on the Services (the "Materials"), including but not limited to AI-generated research, data, text, graphics, images, logos, trademarks, software, and interactive features, are protected by copyright, trademark, and other intellectual property rights under Hong Kong and international laws.

1.2 Unless otherwise stated, EC² Invest owns or controls all rights, title, and interest in the Materials and the EC² Invest Marks (defined as any names, logos, designs, or trademarks of EC² Invest).

1.3 You may not use, reproduce, modify, distribute, or create derivative works from any Materials or EC² Invest Marks without our prior written consent. Any unauthorised use may result in legal action.

1.4 Third-party trademarks appearing on the Services are used for identification purposes only. No endorsement or affiliation is implied.

2. Access and Use of the Services

2.1 You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for your personal, non-commercial purposes, subject to these Terms.

2.2 You must not (and must not permit any third party to):

1. copy, store, adapt, modify, transmit, distribute, publish, or create derivative works from the Materials;
2. decompile, reverse-engineer, or disassemble any software or technology used in the Services;
3. use automated tools (e.g., scrapers, bots, crawlers) to access, extract, or download Materials;
4. interfere with, disrupt, or overburden the Services or any connected networks;
5. gain unauthorised access to any part of the Services, user accounts, or systems;
6. use the Services in any unlawful, fraudulent, or harmful manner; or
7. infringe any third-party rights, including privacy or intellectual property rights.

2.3 We reserve the right to suspend, restrict, or terminate your access to the Services at any time, without notice or liability, for any reason, including suspected breach of these Terms.

3. Service Modifications, Suspension, and Discontinuation

3.1 Right to Modify: We reserve the absolute right to modify, update, enhance, limit, or change any aspect of the Services at any time, including but not limited to features, functionality, user interface, content, data coverage, research reports, algorithms, pricing, and subscription terms.

3.2 Right to Suspend or Discontinue: We may suspend, restrict, or permanently discontinue all or any part of the Services, or any specific features, tools, or content, at any time and for any reason, including but not limited to:

1. scheduled or emergency maintenance;
2. technical failures, security concerns, or system upgrades;
3. changes in third-party data providers, AI model availability, or licensing arrangements;
4. commercial, operational, or strategic decisions;
5. regulatory requirements or legal obligations; or
6. any other reason at our sole discretion.

3.3 No Prior Notice Required: We are not obligated to provide prior notice of any modification, suspension, or discontinuation. Where practicable, we may endeavour to notify users of material changes, but failure to do so shall not affect the validity of such changes or give rise to any liability.

3.4 No Obligation to Maintain: We have no obligation to maintain, support, update, or continue offering any particular feature, functionality, content, or level of service. The availability of any feature today does not guarantee its availability in the future.

3.5 No Liability for Changes: To the fullest extent permitted by law, EC² Invest shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Services or any part thereof, regardless of whether such change results in loss of access, loss of data, loss of functionality, or any other consequence.

3.6 No Refunds or Compensation: Modifications, suspensions, or discontinuation of the Services shall not entitle you to any refund, credit, compensation, or damages, except as may be expressly provided in separate subscription terms or required by applicable law.

3.7 Acceptance of Changes: Your continued use of the Services following any modification constitutes your acceptance of such modification. If you do not agree with any changes, your sole remedy is to cease using the Services.

4. Linking and Framing

4.1 You may hyperlink to our homepage (https://www.ec2invest.ai) provided you do so in a way that is fair, legal, and does not damage or take advantage of our reputation.

4.2 You must not:

1. deep-link to internal pages without prior written consent;
2. frame, mirror, or inline-link any part of the Services;
3. imply any affiliation, endorsement, or sponsorship by EC² Invest; or
4. link from any website containing unlawful, offensive, or infringing content.

4.3 We may require removal of any link at any time. You must comply immediately.

4.4 We are not responsible for content on third-party sites linking to us.

5. Third-Party Links and Software

5.1 The Services may contain links to third-party websites or resources. These are provided for convenience only. We do not endorse, control, or assume responsibility for such sites or their content, products, or services.

5.2 Your use of third-party sites is at your own risk and subject to their terms and privacy policies.

5.3 Any third-party software (including open-source components) used in the Services is subject to its own licence terms, which will be made available where required.

6. Third-Party Advertising

6.1 We may display third-party advertisements on the Services. These will be clearly identified.

6.2 Advertisers may collect data about your activity for targeted advertising. We do not control such practices and are not responsible for them.

6.3 Section 5 applies to any links within advertisements.

7. Login Credentials and Account Security

7.1 Access to certain features may require registration and login credentials (email and password).

7.2 You are solely responsible for:

1. maintaining the confidentiality and security of your credentials;
2. all activities conducted under your account; and
3. immediately notifying us at support@ec2invest.ai of any unauthorised use or security breach.

7.3 You must use strong, unique passwords and change them regularly. We may reject any password without reason.

7.4 We are not liable for any loss or damage arising from your failure to secure your account.

8. User Conduct and Prohibited Activities

8.1 You represent and warrant that:

1. you have full capacity and authority to agree to these Terms;
2. all information you provide is accurate and complete;
3. you will comply with all applicable laws; and
4. you are not subject to any sanctions or located in a sanctioned jurisdiction.

8.2 Any instruction, request, or communication you send via the Services is binding once received and acted upon in good faith, even if inaccurate or unauthorised.

8.3 We may refuse, delay, or cancel any instruction without liability if we reasonably believe it is unclear, unlawful, fraudulent, or inconsistent with these Terms.

8.4 Legal Compliance: All activities conducted through the Services must adhere to the laws and regulations of the relevant jurisdiction, including but not limited to the laws of Hong Kong, Singapore, and the People's Republic of China.

8.5 Prohibited Content: You are prohibited from creating, uploading, transmitting, or sharing any content that:

1. is illegal under any applicable law or regulation;
2. infringes on the intellectual property rights, privacy rights, or other rights of any third party;
3. is harassing, abusive, threatening, defamatory, or discriminatory;
4. constitutes spam, unsolicited advertising, or promotional material;
5. is sexually provocative, obscene, or pornographic;
6. endangers national security or divulges state secrets;
7. undermines national unity or damages national honour and interests;
8. incites ethnic hatred or discrimination, or undermines ethnic unity;
9. undermines the state's religious policies or promotes cults or superstition;
10. spreads rumours, false information, or disrupts social order;
11. promotes violence, gambling, or other illegal activities;
12. insults or defames others, or infringes upon their lawful rights and interests; or
13. contains any other content prohibited by laws or administrative regulations.

8.6 Social Order: You must not engage in any conduct that violates social morality, disrupts public order, or is otherwise harmful to the stability and harmony of society.

8.7 We reserve the right to remove any content and suspend or terminate any account that violates these provisions, without prior notice or liability.

9. AI-Generated Content Disclaimer

9.1 The Services include research reports, analysis, summaries, and other information that is generated automatically by third-party artificial intelligence ("AI") models based on the latest available data, news content, financial filings, and other publicly available sources (collectively, "AI-Generated Content").

9.2 AI-Generated Content does not represent EC² Invest's views and does not constitute investment advice, financial advice, or any recommendation to buy, sell, or hold any security. EC² Invest and its affiliated companies do not endorse, verify, or guarantee the accuracy, completeness, or reliability of any AI-Generated Content.

9.3 Due to implementation limitations and technological capabilities, the quality of AI-Generated Content may vary. AI models may produce errors, inaccuracies, outdated information, or content that is incomplete or misleading. You acknowledge and accept these inherent limitations.

9.4 You agree that any action you take based on the AI-Generated Content or any other information on the Services is entirely at your own risk. You are solely responsible for conducting your own independent research and due diligence, and for seeking professional financial, legal, or tax advice before making any investment decision.

9.5 You further agree that EC² Invest and its affiliated companies, directors, officers, employees, and agents shall not be held liable for any losses, damages, or other consequences incurred due to your use of or reliance on the AI-Generated Content or any other information provided through the Services.

9.6 The categorisation of securities on the Services (including but not limited to categories such as "Bestsellers," "Brands You Love," "AI Revolution," and similar groupings) is for organisational and educational purposes only. Such categorisation does not constitute a recommendation, endorsement, or opinion on the merits of any security and should not be relied upon as investment advice.

10. General Disclaimers

10.1 The Services and Materials are provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to accuracy, completeness, timeliness, non-infringement, or fitness for a particular purpose.

10.2 We do not guarantee:

1. uninterrupted, secure, or error-free access to the Services;
2. absence of viruses or malicious code; or
3. that Materials are suitable for investment decisions.

10.3 The Materials are for general informational and educational purposes only and do not constitute financial, investment, legal, or tax advice. You must independently verify all information and seek professional advice before making any investment decision.

11. Limitation of Liability

whether in contract, tort (including negligence), or otherwise — even if advised of the possibility.

11.2 We are not liable for events beyond our reasonable control, including system failures, network issues, market disruptions, or force majeure events.

12. Indemnity and Release

12.1 General Indemnity: You agree to indemnify, defend, and hold harmless EC² Invest and its affiliated companies, and their respective directors, officers, employees, agents, licensors, and service providers (collectively, the "Indemnified Parties") from and against any and all claims, demands, actions, suits, proceedings, losses, damages, liabilities, settlements, judgments, costs, and expenses (including reasonable legal fees and disbursements) arising out of or relating to:

1. your access to or use of the Services;
2. your breach of these Terms or any applicable law or regulation;
3. your violation or infringement of any third-party rights, including intellectual property, privacy, or contractual rights;
4. any content you submit, post, or transmit through the Services;
5. your negligence, wilful misconduct, or fraud; or
6. any dispute between you and any third party arising from your use of the Services.

12.2 Investment Losses Indemnity: Without limiting the generality of Section 12.1, you specifically acknowledge and agree that:

(a) All investment decisions are yours alone. Any decision to buy, sell, hold, or otherwise deal in any security, financial instrument, or investment product is made solely by you and at your own risk.

(b) You shall indemnify and hold harmless the Indemnified Parties from any and all investment losses, including but not limited to:

1. losses arising from any trading or investment decision you make;
2. losses arising from your reliance on AI-Generated Content, research reports, analysis, data, or any other Materials provided through the Services;
3. losses arising from market movements, price fluctuations, or volatility;
4. losses arising from the timing of your investment decisions;
5. losses arising from securities you chose to purchase, sell, or hold;
6. losses arising from leverage, margin trading, or derivatives;
7. losses of principal, profits, or anticipated gains; and
8. any other financial losses connected to your investment activities.

(c) You waive any right to claim that EC² Invest or any Indemnified Party caused, contributed to, or is responsible for any investment loss, regardless of the accuracy, completeness, or timeliness of any information provided through the Services.

12.3 Release: You hereby release and forever discharge the Indemnified Parties from any and all claims, demands, damages, losses, costs, expenses, and liabilities of any kind, whether known or unknown, arising out of or related to:

1. your use of the Services or reliance on any Materials;
2. any investment, trading, or financial decision you make;
3. the performance or non-performance of any security or investment;
4. any errors, inaccuracies, omissions, or delays in AI-Generated Content or other Materials;
5. any modification, suspension, or discontinuation of the Services;
6. any regulatory investigation, enforcement action, or legal proceeding arising from your conduct; or
7. any other matter arising from or connected with your use of the Services.

12.4 Third-Party Claims: If any third party brings a claim against any Indemnified Party arising from your use of the Services, your investment activities, or your breach of these Terms, you agree to fully indemnify and compensate the Indemnified Parties for all costs, damages, and expenses incurred in defending or settling such claim.

12.5 Regulatory Matters: You agree to indemnify and hold harmless the Indemnified Parties from any fines, penalties, costs, or liabilities arising from any regulatory investigation, inquiry, or enforcement action triggered by or related to your conduct, your investment activities, or your use of the Services.

12.6 Survival: The indemnity and release obligations in this Section 12 shall survive termination of your account and these Terms.

13. Termination and Suspension

13.1 We may suspend or terminate your access to the Services immediately, without notice, if:

1. you breach these Terms;
2. we suspect fraud, illegality, or misuse;
3. required by law or regulatory authority; or
4. for any other reason at our discretion.

13.2 Upon termination, you must cease all use of the Services. Accrued rights and obligations survive termination.

14. Changes to These Terms

14.1 We may update these Terms at any time. Changes will be posted on the Services with the effective date.

14.2 Material changes will be notified via email or in-app notice at least 30 days in advance (unless not within our control).

14.3 Continued use after changes constitutes acceptance. If you do not agree, cease using the Services immediately.

15. Governing Law and Jurisdiction

15.1 These Terms are governed by the laws of Hong Kong.

15.2 You irrevocably submit to the non-exclusive jurisdiction of the Hong Kong courts.

15.3 We may bring proceedings in any jurisdiction.

16. Miscellaneous

16.1 Assignment: We may assign these Terms without consent. You may not.

16.2 Severability: If any provision is invalid, the remainder remains in force.

16.3 No Third-Party Rights: No person who is not a party to these Terms has any right under the Contracts (Rights of Third Parties) Ordinance (Cap. 623).

16.4 Waiver: No waiver is effective unless in writing.

16.5 Entire Agreement: These Terms, together with our Privacy Policy and any feature-specific terms, constitute the entire agreement.

16.6 Language: The English version prevails in case of inconsistency with any Chinese version.
